The 2006 report examines the potential equity dilution from stock incentive plans at 1,454 companies in the Standard & Poor's 500, MidCap, and SmallCap indexes. Companies included in the study had fiscal year-ends between April 1, 2004, and March 31, 2005, and filed their proxy statement forms with the SEC on or before July 31, 2005. The underlying data on stock plan dilution is included with this report and was retrieved from company proxy statements, annual reports, and 10-K forms. In most cases, companies reported dilution information under the heading “Equity Compensation Table,” in accordance with current SEC disclosure rules. For peer group comparisons, the study companies have been classified according to their S&P index, S&P economic sector, and market capitalization, all roughly corresponding to the number of companies in similar groups in previous editions of the study.
